In short: keep your API keys secret, pay for the credits you use, and use marketplace data lawfully. We charge only for successful fresh responses, and we tell you before we change prices or these Terms.
The agreement
These Terms of Service govern your use of the Ferox Data API, dashboard, MCP server, monitors, webhooks and website (together, the Service). Ferox Data, Inc. (Ferox, we, us) provides the Service.
By creating an account, minting an API key or calling the API, you accept these Terms. If you accept them for a company, you confirm you can bind that company, and you means the company.
If you and Ferox sign an order form, the order form wins where it conflicts with these Terms.
Accounts and teams
You need an account to use the Service. You can sign up with an email and password, or with Google or GitHub. Give us accurate details and keep them current.
Each account belongs to a team. Team owners can invite and remove members, mint and revoke API keys, and manage billing. You are responsible for what happens under your team, including the actions of the members you invite.
You must be at least 18 years old to open an account.
API keys
API keys start with fx_. We show each key once, when you create it, and store only a hash of it. Keep your keys secret. Do not put them in public code, client apps or URLs.
If a key leaks, revoke or rotate it in the dashboard at once. You are responsible for all calls made with your keys until you revoke them.
Credits, plans and billing
The API runs on credits. Each endpoint has a credit cost, and some marketplaces cost more per call. The dashboard and our documentation list current costs.
- We charge credits only for a successful, fresh response. Errors and cache hits cost nothing.
- Paid plans renew each month and grant a fresh credit allowance. Fees are billed in advance through our payment processor, Stripe.
- You can set a budget cap. When your balance or cap runs out, the API returns HTTP
402until you add credits or raise the cap. - Prices exclude taxes. You pay any sales, use or similar taxes that apply, other than taxes on our income.
- You can cancel at any time. Cancellation takes effect at the end of the current billing period. Fees already paid are not refunded, except where the law requires it.
We may change prices or credit costs. We will give you at least 30 days' notice before a change applies to a paid plan you already hold.
Acceptable use
You agree not to:
- break any law, or use data from the Service in a way that breaks a law or someone else's rights;
- use the Service to harass, profile or track private individuals;
- resell or re-host raw API access as a competing data service, unless an order form allows it;
- share API keys outside your team, or create accounts to get around plan limits or free credits;
- probe, overload or attack the Service, or get around its rate limits, metering or security;
- reverse engineer the Service, except where the law allows it despite this term.
We may suspend access that puts the Service, other customers or third parties at risk. Where we can, we will tell you first and give you a chance to fix the problem.
Marketplace data
The Service returns information that marketplaces show on their public web pages: products, prices, offers, sellers, reviews, search results and deals. We collect it from public pages only. We do not use marketplace accounts or private seller tools to collect it.
Ferox is not affiliated with, endorsed by or sponsored by any marketplace. Marketplace names and trademarks belong to their owners.
Marketplace data can be wrong, late or incomplete. A price we return is the price a public page showed at the time we read it. It may differ from the checkout price, which can depend on location, membership, stock or tax. Check anything that matters before you act on it.
You decide how to use the data, and you are responsible for that use. Some data, such as reviewer display names, can relate to people. Handle it lawfully.
Monitors and webhooks
Monitors poll a listing on a schedule and alert you when a condition you set is met. Monitor runs use credits like any other call.
We sign each webhook payload with the secret shown when you create the webhook. Verify the signature before you trust a payload. We try to deliver each event, but delivery is not guaranteed. Do not rely on a webhook as your only record of a change.
Your content and feedback
You keep all rights to the content you send us, such as monitor settings, product lists and webhook URLs (Your Content). You let us use Your Content only to run, secure and support the Service for you.
If you send us ideas or feedback, we may use them without owing you anything.
Our rights
We own the Service, including its software, schema, documentation and brand. These Terms give you a limited right to use the Service while your account is in good standing. They do not transfer any ownership to you.
You may keep and use the data you received through the Service after your account ends, subject to these Terms and the law.
Availability and changes
We work to keep the Service running, but we do not promise it will always be available or error-free. Marketplaces change their pages and block traffic, so a capability can stop working for a time. When a marketplace does not support a capability, the API returns HTTP 501.
Service levels, such as an uptime commitment, apply only when an order form states them.
We may add, change or remove features. If we remove a feature you pay for, we will tell you in advance where we can.
Suspension and termination
You can stop using the Service and close your account at any time.
We may suspend or end your account if you seriously or repeatedly break these Terms, fail to pay, or if the law requires it. If we end your account without cause, we will refund prepaid fees for the unused part of the billing period.
The sections on marketplace data, our rights, disclaimers, liability, indemnity and governing law survive termination.
Disclaimers
THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, FEROX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.
Limitation of liability
TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF TOLD THEY WERE POSSIBLE.
TO THE EXTENT THE LAW ALLOWS, EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID FEROX IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US$100 IF THAT IS MORE.
These limits do not apply to your payment obligations or to a breach of the acceptable use section.
Indemnity
You will defend Ferox against third-party claims that arise from your use of data obtained through the Service, Your Content, or your breach of these Terms, and pay any damages and reasonable costs that result.
Changes to these terms
We may update these Terms. We will post the new version on this page and change the date at the top. If a change is material, we will email team owners at least 30 days before it takes effect. If you keep using the Service after that, you accept the new Terms.
Governing law
These Terms are governed by the laws of the jurisdiction in which Ferox Data, Inc. is incorporated, without regard to its conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute, unless the law where you live gives you a right to bring a claim elsewhere.
If a court finds part of these Terms unenforceable, the rest stays in effect. If we do not enforce a term, we have not waived it. You may not assign these Terms without our consent. We may assign them as part of a merger or sale of our business.
